About this lesson
Bank loans are fixed-amount borrowings from financial institutions, typically secured against company assets, with agreed repayment terms and interest costs. Bonds are similar debt instruments but issued by companies or governments rather than banks, and they're often marketable—meaning they can be bought and sold during their life. Convertible bonds add flexibility: the bondholder can choose to convert their loan into ordinary shares rather than receive cash repayment, giving them a right the company cannot override. The key distinction in all debt financing is that the return (interest rate) is fixed by the lender, not the borrowing company. Security may be fixed (against a specific asset) or floating (against all company assets), but it's not always required. This lesson equips you to spot which characteristics define each debt type and to apply this knowledge when analysing capital structure decisions in case studies and objective tests.
